The Certificate Is Not the Finish Line: Operational Readiness in Hainan
Between a registration certificate and a company that can lawfully trade, hire and be paid sits a set of steps with no single owner. That gap is where most first-quarter delay actually occurs.

Formation projects are usually scoped to end at the certificate, and reported internally as complete when it issues. The business then discovers that it cannot yet sign a contract that will be honoured, cannot receive its first customer payment, cannot put anyone on payroll, and cannot issue an invoice a mainland counterparty will accept for its own deduction. None of these are difficult individually. Collectively they consume the quarter that the plan assumed would be trading.
Hainan has legislated against exactly this friction
The province's response has been institutional rather than exhortatory. The Hainan Free Trade Port Regulations on Optimising the Business Environment (海南自由贸易港优化营商环境条例), in force since 1 November 2021, run to 39 articles covering the market environment, the government services environment and the rule-of-law environment, and were among the first implementing regulations issued after the Hainan Free Trade Port Law. They sit in a "1+N" framework alongside the province's social credit and fair competition statutes. Registration itself has run under the Hainan Free Trade Port Regulations on the Registration Administration of Market Entities since 1 May 2024.
Approval speed has also been legislated at park level. The Standing Committee of the Hainan Provincial People's Congress approved extending the special ultra-simplified approval regime, developed in three parks, to six. For an approval-heavy project the difference is measured in months; for a pure services entity it may not apply at all. Knowing which case you are in belongs in the readiness plan rather than being discovered during the first application.

The steps that have no obvious owner
The readiness gap is not caused by difficulty. It is caused by ownership. Each remaining step belongs to a different counterparty — the bank, the tax authority, the social insurance and housing fund administrations, the chop maker, the invoicing system — and no single one of them is responsible for the sequence. A project plan that lists them as dependencies of each other, in order, finishes materially faster than one that treats them as parallel administrative tasks.
- Company chops and seals produced and registered — nothing is validly executed before this.
- Tax registration completed and the invoicing arrangement established, without which the entity cannot issue a document its customers can deduct against.
- Bank accounts opened, and foreign exchange registration filed with the bank, before the first capital tranche or customer receipt is expected.
- Social insurance and housing provident fund registration opened, without which the first payroll cannot legally run.
- Statutory registers opened and populated, so the entity can be governed rather than merely evidenced.
- Any activity-specific licence identified at scope-drafting stage and started early, since these run on their own clocks.
No single step here is hard. Each belongs to a different counterparty, and nobody owns the order they happen in.
Year one is also the first year of the substance claim
There is a reason readiness deserves more attention in Hainan than in a jurisdiction without an incentive regime. The substantive operation condition attaching to the 15% corporate income tax rate is tested for the year in which the relief is claimed, and requires premises, people, accounts and property to be in the Free Trade Port during that year. An entity that spends its first two quarters with no local payroll account, no accounting records on the island and no functioning office has not merely lost time; it has weakened the substance position for its first claim year, and that year cannot be re-run.
Being reachable is a live obligation from day one
One readiness item carries a consequence out of proportion to its difficulty. The registered address must be somewhere the entity can actually be contacted. An entity that cannot be reached there is exposed to the abnormal operations list, and two years on that list opens the door to removal from the register under the deregistration statute. A forwarding arrangement nobody monitors is how an otherwise healthy entity starts down that path without anyone noticing.
How we sequence it
Incorporation and operational readiness work is the sequencing and the chasing: chops, tax and invoicing, banking, social insurance and housing fund registration, and the statutory registers, run as one dependency chain with a single owner rather than as parallel errands. It also front- loads the items that feed the first-year substance position, because the claim for that year is being built whether or not anyone is treating it as a project. Where the business also needs a site decision, this runs with Park and Site Selection rather than after it.
