Outbound Investment via Hainan

ODI Filings and FX Registration

Three filings stand between a signed term sheet and money leaving China — run them in the order the deal needs.

Preparing and tracking the outbound investment filings and the foreign exchange registration for a Hainan investing entity.

What this covers

  • A determination of whether the project needs a filing or an approval, and with which authority
  • The development and reform filing prepared and tracked
  • The commerce filing prepared and tracked
  • The foreign exchange registration at the bank, matched to what the bank actually processes
  • Change filings when the investment is increased, restructured, or exited
  • A timetable of the filings aligned to the signing conditions in the transaction documents

Our services

Filing or approval, decided firstThe route depends on sector, destination, and amount, and changes the timetable.

Outbound direct investment by a Chinese entity is regulated before the money moves. Depending on the sector, the destination, and the amount, the project needs a filing or an approval from the development and reform authority and from the commerce authority, and then a foreign exchange registration at the bank. Which route applies is the first thing to establish, because it changes how long the process takes.

A sequence the deal respectsThe bank registers only what the earlier authorities have cleared.

The three run in a sequence the deal has to respect. A bank will not register an investment that the earlier authorities have not cleared, and a closing date set before the sequence is understood is a closing date that may need to move.

Filings continue after the first transferIncreases, restructurings, exits, and the annual registration have their own filings.

The filings do not end at the first transfer. Increases, restructurings, and exits each trigger their own change filings, and the investing entity owes the bank an annual registration for its overseas equity. These belong on the entity's compliance calendar from the start.

A timetable the deal team can useWritten so it can go into the conditions precedent.

We prepare the filings, track them with the authorities and the bank, and give the deal team the timetable in a form that can be written into the conditions precedent. The merits of the investment, and the law of the destination, are for the entity's own advisers.

Discuss ODI Filings and FX Registration with our team

HainanInc is an independent advisory practice for foreign capital entering the Hainan Free Trade Port and for Chinese groups investing from it — one accountable team from entity formation and customs through annual compliance.

Our services

Our practice areas cover the whole life of a presence in Hainan — from the market-entry assessment made before anything is filed, through formation, tax incentives, customs and zero-tariff compliance, and annual compliance, to the work permits, outbound investment, and deregistration around it. One engagement model means a single accountable team across all of them.

We make Hainan navigable.

The Free Trade Port rewards preparation and penalises gaps in compliance. Our role is to shorten that learning curve: one engagement, one accountable team, and a documented path from first assessment to ongoing compliance.
