Outbound Investment Filings: What Has to Clear Before the Money Moves
A Chinese entity investing abroad cannot treat the overseas closing as the first date that matters. The PRC filings come first, and the order they run in sets the earliest date a deal can close.

A Chinese entity investing abroad cannot treat the overseas closing as the first date that matters. Before funds move, the investment generally has to clear the development and reform authority, the commerce authority, and the bank's foreign exchange registration, and the order they run in sets the earliest date the deal can close.
Filing or approval is the first question
Whether a project needs a filing or an approval, and with which level of authority, depends on the sector, the destination, and the amount. Sensitive sectors and destinations attract approval rather than filing, and the answer changes how long the process takes. It is worth establishing before a closing date is written into the agreement.
Then the bank
Foreign exchange registration for direct investment is handled by the bank, which registers what the earlier authorities have cleared. The registration has to match what the bank actually processes, so the documents are prepared for the bank's own practice and not only for the rule. After the first transfer, increases, restructurings, and exits trigger their own change filings, and the investing entity owes an annual registration of its overseas equity.
What Hainan adds
A Hainan investing entity may also reach the Free Trade Port's corporate income tax exemption on income from new outbound direct investment, available to qualifying tourism, modern services, and high-technology enterprises registered in the Free Trade Port. It is subject to the conditions of the tax notice and runs to 31 December 2027 on the current extension, and it attaches to new outbound investment, so the timing and characterisation of an investment matter. The entity must also genuinely operate in Hainan: an investment vehicle that is only an address does not meet the substance conditions behind the Free Trade Port's other positions.
Questions to answer before signing
- Does the project need a filing or an approval, and from which authority?
- In what order will the development and reform, commerce, and bank steps run, and how long does each take on current practice?
- Do the signing conditions and the long-stop date reflect that order?
- If the investing entity is in Hainan, does its activity fall within the industries the exemption covers, and does it genuinely operate on the island?
- Who keeps the post-closing calendar — the change filings and the annual overseas-equity registration?
Where the positions come from
